Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Tuby website, APIs, and related services (the “Platform”). By using Tuby — including launching a token, paying a platform fee, connecting a wallet, or browsing listings — you agree to these Terms. If you do not agree, do not use the Platform.

Tuby is operated on an “as available” basis. Features may change, pause, or end at any time.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and legally able to enter contracts. You may not use Tuby if you are prohibited by applicable sanctions or local law from using crypto products.

3. What Tuby is (and is not)

Tuby is a software platform that helps users associate community tokens with public YouTube content and display those tokens on Tuby’s interface. Tuby is not a bank, broker, exchange, custodian, investment adviser, or issuer of securities advice.

Tokens shown on Tuby may be highly speculative, illiquid, and worthless. Past presentation on Tuby does not imply endorsement by any YouTube creator, Google, YouTube, or Solana.

4. Platform fees (critical)

Launching on Tuby requires payment of a non-refundable platform fee in SOL to Tuby’s designated fee wallet. The fee amount is shown before you confirm. Payment of the fee is the consideration that allows Tuby to create, index, and display your token listing on the Platform.

• Fees are final once confirmed on-chain. Chargebacks, clawbacks, or “accidental” payments are not refundable except where required by law.
• You must include the exact payment memo provided during launch. Payments without a valid memo may be rejected and still not refunded.
• Each fee transaction may be used for one launch only.
• Walletless launches are allowed: you may pay from any wallet and submit the transaction signature. You remain responsible for that payment.

5. Server-side / platform tokenization

By paying the platform fee and completing launch, you authorize Tuby to create and maintain a platform-indexed token record on Tuby’s servers (and related infrastructure). That record may include name, symbol, image, description, YouTube references, fee metadata, launcher identifiers, and display market data.

Depending on configuration, a listing may appear on Tuby before, after, or without a fully independent on-chain mint program deployment. You acknowledge that:

• Tuby’s listing is a Platform service record, not a guarantee of on-chain permanence, liquidity, or third-party exchange support.
• Tuby may migrate, re-index, or reconcile listings when on-chain programs or networks change.
• Displayed prices, market caps, and volumes may be estimated, delayed, or illustrative.

6. No creator endorsement

Associating a token with a YouTube channel or video does not mean the creator endorsed, launched, sponsored, or profits from that token unless the creator has completed Tuby’s verification flow and a verified badge is shown.

You must not impersonate creators or mislead others about endorsement, affiliation, employment, or ownership. Tuby may remove, freeze, or relabel listings that appear deceptive — including changing display copy to state that a listing is unofficial.

7. YouTube names, PFPs, thumbnails & likeness (critical)

When you paste a YouTube link or launch a token, Tuby may resolve and display publicly available YouTube metadata — including channel names, handles, channel IDs, profile pictures (avatars / PFPs), video titles, descriptions, thumbnails, view counts, and similar public fields (together, “Creator Materials”). Tuby may also use images or URLs you enter yourself.

You — not Tuby — are solely responsible for whether your launch, token name/ticker, description, artwork, and use of Creator Materials are lawful. That includes copyright, trademark, trade dress, right of publicity / personality rights, unfair competition, and YouTube / Google terms that apply to you.

• By launching (or submitting a URL that causes Creator Materials to load), you represent and warrant that you have all rights, licenses, consents, and permissions needed to use those materials in connection with a crypto token and to authorize Tuby to host and display them.
• If you do not have those rights, do not launch, do not use the creator’s PFP/thumbnail as token art, and do not use confusingly similar names or tickers.
• Tuby’s auto-fill of a creator PFP, thumbnail, or name is a convenience only. It is not permission from the creator, YouTube, or Tuby that your use is lawful.
• YouTube, Google, and creators are not affiliated with Tuby and do not sponsor Tuby launches unless expressly stated by them.
• Tuby may remove or replace Creator Materials, strip images, or delist tokens upon complaint, legal demand, or our own risk assessment — without refunding platform fees.

8. Your responsibilities

• Comply with all laws that apply to you (securities, money transmission, tax, consumer, IP, publicity rights, sanctions).
• Do not launch tokens for fraud, phishing, market manipulation, hate, or illegal content.
• Do not use Creator Materials in a way that implies false endorsement or confuses the public about who issued the token.
• Safeguard your wallets and keys. Tuby never asks for seed phrases.
• Review fee amounts, memos, destination addresses, and pre-filled images carefully before confirming.
• Accept that blockchain transactions are irreversible.

9. Intellectual property & license to Tuby

You retain whatever rights you already have in content you submit. You grant Tuby a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, cache, copy, display, distribute, modify (for formatting/sizing), and otherwise use your submitted content and any Creator Materials you cause to be associated with a listing — solely to operate, promote, secure, and improve the Platform (including feeds, embeds, social previews, and backups).

Tuby branding, software, and original UI remain Tuby’s property. Third-party marks (including YouTube and creator brands) remain their owners’ property; appearance on Tuby does not transfer those rights.

10. Notices, takedowns & creator complaints

If you are a rights holder (including a YouTube creator) and believe a listing misuses your name, likeness, PFP, thumbnail, or other IP, email or message us via the contact channels in Docs with: (1) your contact info, (2) the listing URL or mint, (3) a description of the work/rights claimed, and (4) a good-faith statement that use is unauthorized. We may remove or restrict the listing at our discretion. Repeat or abusive launchers may be blocked.

Where U.S. DMCA procedures apply to stored copyrighted works, we will respond to properly formed notices. Counter-notices may be accepted where appropriate. Tuby is a service provider hosting user-directed listings; launchers are the parties who select and submit the content.

11. Disclaimers

The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation; that listings will retain value; or that any use of Creator Materials is authorized by the underlying rights holders.

12. Limitation of liability

To the maximum extent permitted by law, Tuby and its operators, affiliates, and contractors are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or token value, arising from your use of the Platform, any token listing, or any claim related to Creator Materials, likeness, or IP.

Our total liability for any claim relating to the Platform is limited to the greater of (a) the platform fees you paid to Tuby in the 90 days before the claim, or (b) one hundred U.S. dollars (US$100).

13. Indemnity

You will defend, indemnify, and hold harmless Tuby and its operators, affiliates, and contractors from any claims, damages, losses, and costs (including reasonable attorneys’ fees) arising out of or related to: your launches; fee payments; token metadata; your use of Creator Materials (including PFPs, thumbnails, names, and likeness); alleged infringement or right-of-publicity violations; impersonation; deception; or your breach of these Terms or others’ rights.

14. Suspension & removal

We may refuse, freeze, delist, blank images, or delete listings, or restrict access, for maintenance, abuse, IP/publicity complaints, legal risk, or any reason we reasonably deem necessary. Platform fees already paid remain non-refundable.

15. Privacy

Our Privacy Policy explains what we collect and how we use it. Using Tuby also means you accept that policy.

16. Changes

We may update these Terms by posting a new version. Continued use after changes means you accept the updated Terms. Material fee or launch changes will be reflected in the product UI at the time of launch.
